While I agree with Michael about the value of the US DOJ/FTC Merger guidelines, I can think of at least 4 areas of law in M&A. One is indeed antitrust issues and while the Guidelines are important, you also need to consider pre-merger notification rules. A second is structural law on the various ways a merger or acquisition can be accomplished. The third area is securities law and rules under the Williams Act for hostile takeovers. Finally, is corporate governance and the duties of managers in dealing with possible unwanted takeovers. I suspect all of us would be interested in a single source that covers the broad range of issues concisely.

Subject: Mergers and Acquisitions book

> Does any have a suggestion for a clear treatment on the basics of the law pertaining to Mergers and Acquisitions? I've been asked to provide a recommendation for such a book but that is just too far out of my area of practice.
